WheelBees is engaged in facilitating communication in and around vehicles across the globe (“Services”). The following terms and conditions govern your access and use of the web portal and all information, content, services and functionality available at or through the mobile application and/or the website, https://wheelbees.com/  (“Platform”). This Platform is owned and operated by WheelBees, a registered company in Netherlands. (“WheelBees”,” we”, “us“, or “our“).

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE PLATFORM. By visiting our Platform, you agree to be bound by the following terms and conditions (“Terms of Service”) and Privacy Policy including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the Platform, including without limitation users who are browsers, vendors, customers, service providers, and/ or contributors of content (“you or Users”). If you do not agree with all of these Terms of Service, then you are prohibited from using the Platform and Services and you must discontinue use immediately. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

The Platform and Services are intended for users who are at least 16 years old. If you are under the age of 16, you are not permitted to register for the Platform or use the Services without parental permission. However, if you are above the age of 16 yet not meeting the legal age as per your respective country laws, you are also requested to seek parental permission or immediately cease using the Platform. By registering for any Services, you represent and warrant that you are eligible to use the Platform or have consent from your parent or guardian. We may make changes to these Terms of Service, Platform or the Services to meet our users’ needs and/or for our business priorities at any time. We will never charge you for the website or its services without making it very clear to you exactly what you’re paying for. The updated version of these Terms of Service will be indicated by an updated revised date and the updated version and/or the changes in the Services will be effective when posted. You are responsible for visiting this Platform and to stay informed of all the updates. Your continued use of the Platform represents that you have accepted such changes.

You are required to provide your accurate personal information including but not limited to first name, phone number, date of birth, profile picture, country, location data, basic biography, vehicle license plate number and email address at the time of registering for the Service. This will help us in providing better Services, assisting you with your query and also in associating a relationship with us. You will be informed about the important updates of the Services referring to these details only. Apart from the personal information mentioned hereinabove, WheelBees shall also access your IP address and location data to understand your preferences on our Platform and by displaying Services that may be relevant to you. The personal information of the Users shall be processed as per our Privacy Policy.

At the time of Registration:

You will need to sign up on our Website and create an account to avail the Services. You can also register by sharing your Personal Information to avail the Services through the use of your social media accounts like Facebook, Gmail etc. This will help in associating a relationship with the us and is required for future reference purpose. You will be informed about the important updates of the Services referring to these details only. All your information will be kept with WheelBees and can be shared with our business affiliates and partners who shall assist us in providing you the relevant Services. The personal data of the Users shall be processed as per our Privacy Policy.

How WheelBees Works:

• WheelBees facilitate Users to get in touch with other registered Users by texting them using their vehicle license plate number.
• Users are free to reach out to the other Users for general meet and greet purposes, warn about any defect in cars that is noticeable, ask any query relating to routes, a nearby gas station or just to show gratitude to fellow road User for giving them way.
• Users of WheelBees can easily send a text to any owner of a vehicle, who already has an account with WheelBees, and they will receive the message.
• WheelBees understands that texting while driving is dangerous form of distracted driving and therefore, WheelBees app provides an option to chat handsfree! Users can dictate text which can be sent as an SMS to the other Users. All that Users have to do is speak by tapping the microphone icon on the Wheelbees app and it will convert the speech into text that can also be edited using voice commands.

Disputes and Cancellations

In case, any dispute arises between the Users while communicating, we encourage our Users to try and settle conflicts amongst themselves. If for any reason this fails for any reason whatsoever, Users can contact WheelBees’s customer support department for assistance by reaching us at [email protected]

Information Communication:

The User consents to receiving marketing emails on their registered email address from time to time which informs the Users of information including but not limited to Service updates and even new features that are added to the Platform including offers and promotions that may be of your interest through push notifications and /or the registered email.

Acceptable Use

1. You may not access or use the Platform for any purpose other than that for which we make the Platform and our Services available. The Platform may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by us.  
2. As a User of this Platform, you agree not to:

• Systematically retrieve data or other content from the Platform to a compile database or directory without written permission from us.
• Make any unauthorized use of the Platform, including collecting usernames and/or email addresses of other Users to send unsolicited email or creating user accounts under false pretences.
• Circumvent, disable, or otherwise interfere with security-related features of the Platform, including features that prevent or restrict the use or copying of any content or enforce limitations on the use.
• Engage in unauthorized framing of or linking to the Platform.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Make improper use of our support services, or submit false reports of abuse or misconduct.
• Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
• Interfere with, disrupt, or create an undue burden on the Platform or the networks and services connected to the Platform.
• Attempt to impersonate another user or person, or use the username of another User.
• Sell or otherwise transfer your profile.
• Use any information obtained from the Platform in order to harass, abuse, or harm another person.
• Use the Platform or our Services as part of any effort to compete with us or to create a revenue-generating endeavour or commercial enterprise.
• Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Platform.
• Attempt to access any portions of the Platform that you are restricted from accessing.
• Harass, annoy, intimidate, or threaten any of our employees, agents, or other Users.
• Delete the copyright or other proprietary rights notice from any of the content.
• Copy, modify or adapt the Platform’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
• Upload or transmit (or attempt to upload or to transmit) viruses, trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Platform, or any material that acts as a passive or active information collection or transmission mechanism.
• Use, launch, or engage in any automated use of the system, such as using scripts to send comments or messages, robots, scrapers, offline readers, or similar data gathering and extraction tools.
• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Platform.
• Use the Platform in a manner inconsistent with any applicable laws or regulations.
• Misrepresent experience, skills, or information about a User.
• Falsely imply a relationship with us or another company with whom you do not have a relationship.  
• Engaging in exchange of adult oriented or pornographic materials and services.  
• Exchange of rude, abusive, improper language, or violent messages while interacting.

Ownership of Content and Intellectual Property Rights

WheelBees owns the Platform and all Services and content therein except for content posted by the Users (“User Content”) and all worldwide intellectual property rights relating to the foregoing. Except as expressly authorized by WheelBees, you will not copy, distribute, sell, lease, perform, display, sublicense, modify or prepare derivative works of the Platform, in whole or in part. WheelBees reserves all rights not expressly granted to you under these Terms of Service. All Content on the Platform is protected by applicable copyright laws. You agree to comply with all copyright laws and any copyright notices, information, or restrictions contained in any Content available on the Platform or accessed through the Services. Any use of the Platform not expressly permitted by these Terms of Service will be deemed a breach of these Terms of Service and may violate copyright, trademark, and other laws. 

To the extent that you provide us with any suggestions, feedback or other information relating to our business or the Services (including, but not limited to, suggested new Services or improvements to existing Services), such information is provided to us on a non-confidential and unrestricted basis, and you hereby grant to WheelBees, a non-exclusive, worldwide, perpetual, royalty-free, fully transferrable and sublicensable right and license to reproduce, display, distribute, use and fully exploit such suggestions, feedback and information.

Trademarks

WheelBees and associated brands and designs are the trademarks of WheelBees. You must not use any such trademarks unless you have a valid, written agreement or consent from WheelBees to do so. All third-party trademarks on the Platform are the property of their respective owners.

Modifications to and availability of the Platform

1. We reserve the right to change, modify, or remove our content at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.    
2. We cannot guarantee the Platform and Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Platform, resulting in interruptions, delays, or errors. You agree that WheelBees has no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Platform or Services during any downtime or discontinuance of the Platform or Services. Although we will try our best, we are not obliged to maintain and support the Platform or Services or to supply any corrections, updates, or releases. 
3. There may be information on the Platform that contains typographical errors, inaccuracies, or omissions that may relate to the Services, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time, without prior notice.

Termination of our Services

We may also wish to stop providing the Services via Platform, and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise, upon any termination, (a) the rights and licenses granted to you in these Terms will end; (b) you must stop using the Platform.

Liability

WheelBees and all its officers, directors, employees, affiliates and agents assume no liability or responsibility for, and in no event shall WheelBees, its officers, directors, employees, affiliates or agents, be liable for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from, any personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Platform, any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, any interruption or cessation of transmission to or from the Platform, any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Platform, by any third party, and/or any errors or omissions in any submission(s) or other content made available by WheelBees, or for any loss or damage of any kind incurred as a result of the use of any submission(s) or other content posted, emailed, transmitted, or otherwise made available via the Platform, whether based on warranty, contract, tort, or any other legal theory, and whether or not the company is advised of the possibility of such damages. You understand and agree that The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. WheelBees does not warrant, endorse, guarantee, or assume responsibility for any Service advertised or offered by a third party through the Platform or any hyperlinked Platform or featured in any advertising, and WheelBees will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or Services. You specifically acknowledge that WheelBees shall not be liable for User submissions or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

Indemnification

You undertake to indemnify and hold WheelBees harmless from and against all claims, losses, liabilities, expenses, damages and costs, including, without limitation, legal costs, arising from or relating to User content, your unauthorized use or conduct of the Platform or any violation of the relevant policies, including but not limited to these Terms of Service, any applicable law(s) and regulations or rights of any third party(ies).

WheelBees reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with WheelBees defense of such claim.

Governing Law; Venue and Jurisdiction 

This Platform, WheelBees Services and the use of it and any dispute of any sort that might arise between you and WheelBees is governed by the laws of Netherlands and the competent courts of Netherlands shall have exclusive jurisdiction over any disputes hereunder.

General

1. Visiting the Platform, completing online forms constitute electronic communications, you consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via e-mail and on the Platform, satisfy any legal requirement that such communication be in writing. 
2. You hereby agree to the use of electronic signatures, contracts, orders and other records and to electronic delivery of notices, policies and records of transactions initiated or completed by us or via the Platform. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by other than electronic means.  
3. These Terms of Service and any policies or operating rules posted by us on the Platform or in respect to the Services constitute the entire agreement and understanding between you and us.   
4. Our failure to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision.   
5. We may assign any or all of our rights and obligations to others at any time.
6. We shall not be responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control.   
7. If any provision or part of a provision of these Terms of Service is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms of Service and does not affect the validity and enforceability of any remaining provisions.  
8. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Service or use of the Platform or Services.

The parties agree that this Agreement and all documents relating thereto be drawn up in English.

We are committed to complying with all data protection laws as are applicable to us. The data controller for personal information collected from a visitor to the Platform is WheelBees.

By using our Platform or by otherwise giving us your personal information you are accepting the practices described in this Privacy Policy. HOW WE COLLECT YOUR PERSONAL INFORMATION

We may collect the following personal information relating to you:

• Account Information: You need to register to use our Platform. In the course of installing, accessing and using the Services, we must receive or otherwise collect information that identifies you as a specific individual and can be used to contact or identify you (“Personal Information”). The types of information we receive and collect from you will be Name, vehicle license plate number, email ID, date of birth, profile picture, country, basic biography, images and social media connection.
• Device and location Information: The Platform automatically collects certain technical information relating to the device you use to visit the Platform. Specifically, we use cookies and similar technologies to help us understand your activity on the Platform. A “cookie” is a small piece of data that a website can send to your browser, which may then be stored on your device. Data that we collect automatically includes your internet protocol (“IP”) address, location, your device’s identification information, and the actions taken on our Platform (e.g., links that you click) as well as other sites that you may visit. • Payment Information: If you use the Service to make or receive payments, we will also collect certain financial information, such as credit card or other financial account information.
• Children Information: The Service is intended for users 16 and older. We do not knowingly collect Personal Information from anyone younger than age 16. • Provide you with the Services and information that you have requested.
• Manage and maintain our relationship with you, including responding to an inquiry, question or comment made by you and providing you with other customer support.

• Carry out analytics and market research and internal reporting to enable us to plan, develop and improve our Platform, our Services and marketing activities. • Information shared with other Users: Your share your information (including messages) as you use and communicate with other registered Users through our Services.

The service providers are required to keep your personal information confidential and are not permitted to use your personal information for any other purpose than to carry out the services they are performing for us.
• Third parties to meet applicable legal requirements: We may need to disclose your personal information to a third party if it is necessary to comply with a legal obligation or the decision of a judicial authority, a public authority or a government body, or if disclosure is necessary for national security, law enforcement or other public interest.

WheelBees implements appropriate security measures designed to prevent unlawful or unauthorized processing of personal information and accidental loss of or damage to personal information. The data collected via our Platform is stored in a secure server with our ISP who will take periodic backups of such data.

CHILDREN’S PRIVACY PROTECTION

The Platform are not intentionally targeted to, or intended for, children under the age of 16. We do not knowingly collect data relating to children.

CONTROLLING YOUR PERSONAL INFORMATION

Accessing of Personal data

• If you would like request information about your personal data which we have collected, or inquire about the manner in which your personal data may have been used or disclosed by us within the past year, please contact us. In order to facilitate processing of your request, we may need to ask for further information relating to your request.
• We reserve the right to charge a reasonable fee for retrieving your personal data records. If so, we will inform you of the fee before processing your request.
• We will respond to your request as soon as reasonably possible. Should we not be able to respond to your request within thirty (30) days from the date of your request, we will inform you in writing. You are responsible for informing us of changes to your personal data, or in the event you believe that the personal data we have about you is inaccurate, incomplete, or out of date. Withdrawal of consent and deletion of Personal Data

• You may communicate the withdrawal of your consent to the continued use or disclosure of your personal data for any of the purposes mentioned in this Privacy Policy, or request the deletion of your personal data, by contacting us through the contact details provided in the Website.
• Please note that if you communicate your withdrawal of your consent to our use or disclosure of your personal data as mentioned above, or request the deletion of your personal data, we may not be in a position to continue to provide our Services to you or perform on any contract we have with you, and we will not be liable in the event that we do not continue to provide our Services to, or perform our contract with you. The Platform contains links to other websites, including sites controlled by third parties independent of us. WheelBees is not responsible for the privacy practices or the contents of such websites that is not owned by WheelBees. We encourage you to read the privacy notices of such websites before providing any personal information to them. We do not take responsibility of any other party’s site hyperlinked to WheelBees web site or in which any part of the WheelBees web site has been hyperlinked or for the opinions of third parties expressed on or through our Website.

GDPR Annex

Annex: Additional information for the purposes of the EU General Data Protection Regulation, the Swiss Federal Data Protection Act and the UK Data Protection Act (“GDPR Annex”)

This GDPR Annex complements and supplements the main body of the Website Privacy Policy and covers the processing of personal information subject to EU Regulation 2016/679, also known as the EU General Data Protection Regulation (“GDPR”), the Swiss Federal Data Protection Act and the UK Data Protection Act, 2018. DATA TRANSFERS

California Online Privacy Protection Act (CalOPPA) – “California Do Not Track Disclosures”

In accordance with the CalOPPA, we may collect Personal Information about your online activities when you use the Services. While we give our users many avenues to opt out of providing Personal Information, we do not respond to Web browsers’ “do not track” signals. California’s “Shine the Light” law, Civil Code Section 1798.83, permits our users who are California residents to periodically request and obtain certain information about any Personal Information disclosed to third parties for direct marketing purposes. California Consumer Privacy Act (CCPA) –The CCPA gives California consumers enhanced rights with respect to their personal information that is collected by businesses.  First, California consumers may opt out of having their personal information sold to other persons or parties.  Second, California consumers have a right to know:

• Categories of personal information it has collected about the consumer;
• Categories of sources from which the personal information is collected;
• Categories of personal information that the business sold or disclosed for a business purpose about the consumer;

Third, California consumers can request that the personal information a business has collected about them be deleted from the business’s systems and records.

With your consent, WheelBees may sell personal information to third parties. You can request to opt out of the sale of your personal information at any time by completing the questionnaire on our homepage or by sending as email [email protected]. 

To make a request to know or request to delete your personal information, send us an e-mail at [email protected]. Please put either “Request to Know” or “Request to Delete” in the subject heading of your email.

We will confirm receipt of your request to know or delete within fifteen (15) days along with a description of what steps we will take to verify and respond.  We must provide the requested information or delete your personal information within forty-five (45) days of receipt of your request but can use an additional forty-five (45) days, but we will let you know additional time is needed.

When contacting us, we may ask you to provide certain, limited personal information, such as your name, email address and/or username to verify your request and to match with our records and systems.  We will not retain this personal information or use it for any other purpose.  And we need to search our records and systems only for the preceding twelve (12) months.
